These Terms of Service ("Terms") govern your access to and use of the Celis marketplace — the Celis mobile app, the website at celis.so, and related services (together, "Celis"), operated by Celis Somalia ("Celis", "we", "us"). By creating an account or using Celis you agree to these Terms and to the Privacy Policy at celis.so/privacy. If you do not agree, do not use Celis.
1. Who can use Celis
You must be at least 18 years old and able to form a binding contract. You must give accurate account information (email or phone number, display name, region) and keep it current. Business sellers must provide an accurate business name and registration details where requested. You are responsible for activity under your account; keep your password and one-time codes secret and tell us at privacy@celis.so if you suspect unauthorised access.
2. What Celis is
Celis is a venue that lets buyers and sellers in Somalia find each other, communicate, and arrange their own transactions. Except where Celis expressly processes a listing fee or a payment through an integrated mobile-money provider, Celis is not the buyer, the seller, or a party to any transaction between users. We do not take custody of items and do not guarantee the existence, quality, safety, or legality of listed items, the truth of listings, or the ability of users to complete a sale.
3. Accounts
One account per person unless we agree otherwise. You may not transfer or sell your account. We may refuse, limit, suspend, or close accounts that breach these Terms or that we reasonably believe create risk for the marketplace or for other users.
4. Listings and content
You may list only items you own or are authorised to sell, that are legal to sell in Somalia, and that match the category, condition, price, delivery method, and photos you provide. You grant Celis a non-exclusive, worldwide, royalty-free licence to host, display, resize, and distribute the listing text and photos you upload for the purpose of operating and promoting the marketplace. You keep ownership of your content, and you must hold the rights to any photos you upload.
5. Prohibited items and conduct
Do not list illegal goods or services; weapons, ammunition, or explosives; drugs or regulated pharmaceuticals; wildlife or products from protected species; stolen or counterfeit goods; currency, financial instruments, or account credentials; human remains; hazardous materials; adult sexual services; recalled items; or anything whose sale is restricted by Somali law or by applicable platform rules. You must not post false, misleading, or duplicate listings; manipulate search results, reviews, or fees; harass, threaten, defraud, or discriminate against other users; circumvent fees or move first contact off Celis to evade safety features; scrape or attack the service; upload malware; or use Celis in breach of law.
6. Buying and selling
Buyers and sellers are responsible for agreeing price, payment method, inspection, hand-over or delivery, and any after-sale terms directly with each other. Inspect items before paying where possible, and meet in safe, public places. Celis may provide safety tips, verification badges, reports, blocks, and messaging, but these are aids, not guarantees.
7. Fees and payments
Publishing some listings requires a listing fee that is shown before you confirm. Fees are quoted in the displayed currency and are collected through an integrated mobile-money provider (for example EVC / WaafiPay). A fee paid to publish a listing is non-refundable once the listing is published, except where required by law or expressly stated. We may change fees on a forward-looking basis by updating the app and the fee schedule. You are responsible for any taxes on your own sales. Mobile-money transactions are also subject to the provider’s own terms.
8. Reviews and reputation
Reviews and ratings must reflect a genuine transaction experience. They must not be bought, sold, incentivised, or used to extort another user. We may remove content that breaches these Terms.
9. Suspension and termination
You may stop using Celis and delete your account at any time from Profile → Delete Account, after resolving any active orders, escrow, wallet payments, or pending payouts first. We may suspend or terminate access, remove listings, or withhold marketplace features if you breach these Terms, create risk, or where required by law. Provisions that by their nature should survive — the licence to already-distributed content, disclaimers, limitation of liability, indemnity, and dispute terms — survive termination.
10. Disclaimers
Celis is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Celis will be uninterrupted, secure, or error-free, or that any listing or user is authentic or reliable.
11. Limitation of liability
To the fullest extent permitted by law, Celis Somalia and the people who operate it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, or for any dispute, loss, injury, or damage arising between users or from items bought or sold through Celis. Where liability cannot be excluded, our total liability for any claim relating to Celis is limited to the greater of the fees you paid to Celis in the three months before the event and USD 50 or its equivalent.
12. Indemnification
You will indemnify and hold harmless Celis Somalia from claims, losses, and expenses (including reasonable legal fees) arising from your listings or content, your transactions with other users, your breach of these Terms, or your violation of any law or third-party right.
13. Changes to these Terms
We may update these Terms when Celis features, providers, or legal obligations change. We will update the last-updated date and publish the current Terms in the app and at celis.so/terms. Material changes take effect when we post them; continued use after that means you accept the updated Terms.
14. Governing law and disputes
Celis is operated for the Somalia market. The governing law, the forum for resolving disputes between you and Celis, and whether any non-Somali law applies to particular diaspora users, require qualified legal review and will be stated here once settled. Nothing in these Terms limits any right you have under mandatory consumer law that cannot be waived. Please contact us first at support@celis.so so we can try to resolve any complaint.
